This document should be read together with any applicable proposal, order, product terms and linked policies for your pCube Software Solution service.
Acceptance and authority
By using this website, requesting a quotation, signing a proposal, making a payment or using a pCube Software Solution service, you confirm that you have read and accepted these terms and have authority to bind the customer organisation. If you do not agree, do not use the service.
Scope, proposals and change requests
pCube Software Solution will deliver only the features, pages, integrations, revisions and support expressly listed in the accepted proposal or order. Any new requirement, additional revision, data correction, migration, integration or change in direction may require a revised estimate, timeline and written approval. Silence or continued use after a scope update may be treated as acceptance.
Customer responsibilities
The customer must provide accurate content, approvals, credentials, licences, data, domain access and timely decisions. The customer is responsible for the legality, accuracy and permissions for all content, personal data, trademarks, images and documents supplied to pCube Software Solution. Delays caused by missing inputs, late approvals or third parties extend the delivery schedule without making pCube Software Solution liable for the delay.
Fees, taxes and payment
Prices exclude GST and other applicable taxes unless expressly stated otherwise. Invoices are payable by the due date in the proposal or invoice. Advance, milestone, subscription and setup fees become due as agreed. Overdue amounts may attract reasonable interest, recovery costs and suspension of work or access. Bank, gateway, domain, hosting, SMS, app-store and other third-party charges are payable by the customer unless expressly included.
Delivery, acceptance and support
Delivery dates are estimates dependent on customer inputs, approvals and third-party availability. A deliverable is deemed accepted when the customer confirms acceptance, publishes or uses it, or does not report a specific material defect within seven calendar days of delivery. Support covers the agreed plan and does not include new development, third-party outages, misuse, unauthorised changes or issues outside pCube Software Solution control.
Intellectual property and licence
pCube Software Solution retains ownership of its pre-existing code, frameworks, libraries, templates, methods, tools, know-how and reusable components. After full payment, the customer receives the limited licence or ownership rights expressly stated in the proposal for the final customer-specific deliverables. Unpaid work, drafts, source files, internal tools and third-party materials are not transferred. pCube Software Solution may display non-confidential completed work in its portfolio unless the customer requests confidentiality in writing.
Third-party services and external platforms
Domains, hosting, payment gateways, SMS providers, email services, app stores, APIs, plugins, maps, analytics and other external services are governed by their own terms and availability. pCube Software Solution is not responsible for a third party changing pricing, policy, API, approval, availability or functionality. The customer authorises pCube Software Solution to use required third-party services on the customer’s behalf where needed for delivery.
Security, privacy and customer data
pCube Software Solution will use reasonable operational safeguards for information entrusted to it. The customer remains responsible for lawful collection, notices, consents, retention, access permissions and instructions relating to personal data. pCube Software Solution may process project and account information to provide, secure, support and improve services and to meet legal obligations. Data handling is also subject to the Privacy Policy and any applicable data-processing terms.
Acceptable use and suspension
Services must not be used for unlawful, fraudulent, abusive, infringing, defamatory, harmful, spam or unauthorised activity, or to compromise another system. pCube Software Solution may refuse, suspend or restrict work, accounts or access immediately where payment is overdue, security is at risk, misuse is suspected, required information is missing or continued service could expose pCube Software Solution or others to harm.
Warranties and disclaimers
pCube Software Solution will perform agreed professional services with reasonable care and skill. Except for commitments expressly written in the accepted proposal, services and third-party components are provided without implied promises of uninterrupted availability, error-free operation, a particular business result, search ranking, approval by an external platform or compatibility with every device, browser or future software version. Customer’s exclusive remedy for a verified material service defect is reasonable correction or re-performance where commercially practicable.
Liability limitation
To the maximum extent permitted by law, pCube Software Solution, its owners, employees and contractors will not be liable for indirect, incidental, special, punitive or consequential loss, loss of profit, revenue, goodwill, data, business opportunity or anticipated savings. pCube Software Solution’s total aggregate liability arising from a project or service will not exceed the fees actually paid to pCube Software Solution for that specific service during the three months immediately preceding the event giving rise to the claim. This limitation does not exclude liability that cannot lawfully be excluded.
Customer indemnity
The customer will defend, indemnify and hold harmless pCube Software Solution and its team from claims, penalties, losses, costs and reasonable legal expenses arising from customer-provided content or data, infringement of third-party rights, unlawful use, breach of these terms, misuse of credentials, or instructions given by the customer. pCube Software Solution will notify the customer of a covered claim and may reasonably control its defence.
Confidentiality
Each party will protect the other party’s confidential business, technical and commercial information and use it only for the agreed engagement. This obligation does not apply to information already public, independently developed, lawfully received from another source or required to be disclosed by law.
Termination and account closure
Either party may terminate an engagement according to the accepted proposal. pCube Software Solution may terminate or suspend immediately for material breach, non-payment, unlawful use, security risk or insolvency. Fees for work completed, committed third-party costs, notice-period charges and non-cancellable subscriptions remain payable. On closure, access may be disabled and customer data may be handled according to the agreed retention period and Privacy Policy.
Force majeure
pCube Software Solution is not responsible for delay or failure caused by events beyond reasonable control, including internet or power failure, cyber incidents, hosting or gateway outages, natural disaster, war, government action, labour disruption, epidemic, supplier failure or unavailable customer personnel. pCube Software Solution will take reasonable steps to resume service.
Governing law and dispute process
These terms are governed by the laws of India. Before starting formal proceedings, the customer must send a written notice describing the dispute to info@pcubeweb.com and allow pCube Software Solution at least 15 business days to review and attempt a good-faith resolution. Subject to rights that cannot lawfully be waived, disputes will be subject to the courts having jurisdiction over pCube Software Solution’s registered office.
Updates and general terms
pCube Software Solution may update these terms for future use by publishing a revised version on this page. The version accepted for an existing project remains applicable unless the parties agree otherwise in writing. If any provision is held invalid, the remaining provisions continue. These terms, together with the accepted proposal, invoice and linked policies, form the agreement for the relevant service.
